These Terms & Conditions ("Terms") govern your use of GigSniper (the "Service"), operated by Sam Horton ("we", "us", "our"). By creating an account or otherwise using the Service, you agree to these Terms.

1. Who you are contracting with

The Service is provided by Sam Horton, an individual sole trader trading as GigSniper. If you are using the Service on behalf of an organisation, you confirm you have authority to bind that organisation. If you are an individual, you confirm you are of legal age to enter into a contract.

2. The Service

GigSniper helps musicians and performers discover live-music venues, generate AI-assisted outreach emails, and track bookings and follow-ups. Specific features available to you depend on the plan you subscribe to.

3. Your account

You must provide accurate information when registering and keep it up to date. You are responsible for keeping your login credentials confidential and for all activity that happens under your account.

4. Acceptable use

You must not misuse the Service. In particular, you must not:

  • use the Service in violation of any law or regulation;
  • use the Service for fraud, spam, harassment, or to send unlawful communications;
  • infringe anyone's intellectual property, privacy, or publicity rights;
  • attempt to gain unauthorised access, probe, scan, scrape, reverse engineer, or interfere with the security or integrity of the Service;
  • upload malware or content that is illegal, defamatory, or infringing.

5. AI-generated content

GigSniper uses AI to draft outreach emails and other content based on prompts and information you provide.

  • You are responsible for your prompts, for reviewing outputs before sending them, and for how you use those outputs.
  • AI outputs may be inaccurate or incomplete. Do not rely on outputs for legal, financial, medical, or other professional advice without independent verification.
  • You must have the rights to any content you submit as input, and you are responsible for ensuring outputs you send comply with applicable law (including anti-spam and data-protection law).
  • Prohibited uses include, without limitation, generating harassment, spam, hate speech, deceptive impersonation, malware, or content that infringes third-party rights, and attempting to jailbreak or bypass the Service's safety features.
  • We may filter, refuse, or remove outputs, and suspend accounts that repeatedly generate prohibited content or that receive credible infringement complaints.

6. Intellectual property

We (and our licensors) own the Service, including its software, design, and branding. Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own booking-related activities. You retain rights in the content you submit; you grant us a limited licence to host and process that content solely to provide the Service.

7. Payment, subscriptions, and taxes

Payments are processed by Stripe. Sam Horton is the seller of record for all GigSniper subscriptions. Prices are shown exclusive of any applicable tax (e.g. VAT/GST), which will be calculated and added at checkout based on your location. Payment, billing, and card-processing mechanics are also governed by Stripe's terms in addition to these Terms and our Refund Policy.

Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time from your account or the billing portal; access continues until the end of the current paid period.

8. Service availability

We work to keep the Service running, but we do not guarantee that it will be uninterrupted, error-free, or free of bugs. We may modify, suspend, or discontinue features from time to time.

9. Suspension and termination

We may suspend or terminate your access, with or without notice, if you materially breach these Terms, fail to pay fees when due, present a security or fraud risk, or repeatedly violate our policies. You may stop using the Service and cancel your subscription at any time. On termination, your right to use the Service ends; we may delete your account data after a reasonable retention period.

10. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available", and we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

11. Liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees you paid us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or exemplary damages (including loss of profits, revenue, data, or goodwill). Nothing in these Terms limits liability for fraud, death, personal injury caused by negligence, or anything else that cannot be limited by law.

12. Indemnity

You will indemnify and hold us harmless from claims and losses arising from your content, your use of AI outputs, your unlawful use of the Service, or your breach of these Terms.

13. Changes

We may update these Terms from time to time. Material changes will be communicated by posting the updated Terms with a new "last updated" date, or by email. Your continued use of the Service after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of England and Wales. Disputes will be subject to the exclusive jurisdiction of the courts of England and Wales, unless mandatory local law provides otherwise.
